These Terms & Conditions outline how WebRay Studio (“we,” “our,” “us”) works with clients (“you”).
By starting a project, making a payment, or signing a proposal, you agree to these terms.
1. Scope of Work
All work is defined in the project proposal or package you select.
Anything outside the agreed scope will be treated as additional work and may require an updated quote, timeline, or invoice.
We provide:
Brand identity design
UI/UX design
Website design & development (Framer, Webflow, WordPress)
Ongoing support depending on your plan
We do not provide services not listed in your proposal unless agreed in writing.
2. Payment Terms
Projects begin only after the initial payment or full payment (depending on the package).
Monthly plans renew automatically unless cancelled.
All payments are non-refundable due to the time, strategy, and production involved.
Late payments may pause work until cleared.
If a payment fails or remains overdue, we reserve the right to suspend access, hosting, or ongoing support.
3. Revisions
Each service or plan includes a set amount of revisions as described in your proposal.
Revisions do not include new features, redesigns, or changes in direction after approval.
Any request outside revision scope will be billed separately.
4. Project Timeline
Timelines are based on:
Prompt client communication
On-time delivery of content
Clear feedback within the allowed time window
Delays in client feedback extend the timeline.
We accept no responsibility for delays caused by missing content or slow communication.
5. Client Responsibilities
You agree to provide:
Accurate information
Timely feedback
Required content (images, text, product details, login credentials, etc.)
You are responsible for final proofreading of all content before launch.
6. Ownership & Usage Rights
After final payment:
You own the finalized design deliverables.
WebRay Studio retains ownership of working files, design process files, and project structures (Figma files, layered source files, internal frameworks) unless explicitly purchased.
Any unused concepts or drafts remain the property of WebRay Studio.
For website builds:
You own the published website files and content.
Licenses (fonts, plugins, tools) remain governed by their original license terms.
7. Portfolio Rights
We may showcase completed work—including designs, websites, and testimonials—in our portfolio, social media, and marketing materials.
If your project requires confidentiality, it must be agreed upon in writing before the project begins.
8. Support & Maintenance
Support is only included when:
You subscribe to a WebRay Studio monthly plan
It is explicitly included in your proposal
You request and pay for an additional support package
Fixes caused by third-party edits, unauthorized changes, or external developers are billed separately.
9. Cancellations & Termination
You may cancel a monthly plan anytime. Work already completed is non-refundable.
If a fixed-price project is cancelled mid-way, payments made are final and cover work done to date.
We reserve the right to terminate the project for abusive behaviour, non-payment, or misuse.
Upon termination, all unpaid work becomes void and cannot be used.
10. Liability
WebRay Studio is not liable for:
Loss of revenue, traffic, conversions, or business opportunities
Downtime caused by hosting providers, DNS, or third-party tools
Issues arising from client-added plugins, edits, or third-party developers
Our responsibility is limited to the scope of work outlined in your proposal.
11. Compliance & Legal
You are responsible for ensuring your website or brand complies with:
Local and international regulations
GDPR/CCPA or other privacy requirements
Industry-specific legal requirements
We can implement tools you provide (cookie banners, policies), but legal compliance is your responsibility.
12. Confidentiality
Both parties agree to keep all confidential information private.
This includes strategies, documentation, pricing, and internal processes.
13. Governing Law
These terms are governed under the laws of Sweden, where WebRay Studio operates.
Any disputes will be handled in Swedish courts unless both parties agree on an alternative.
14. Amendments
We may update these terms when needed.
Continued use of our services means you accept the latest version.
